1. Acceptance of These Terms
1.1. These Terms and Conditions ("Terms") govern your access to and use of the Platform, including all content, features, community functions, organization tools, and promotional services made available through it.
1.2. By registering for an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.
1.3. If you do not agree to these Terms, you must not access or use the Platform.
1.4. If you are accessing the Platform on behalf of an organization, company, agency, or other legal entity ("Organization"), you represent that you are authorized to bind that Organization to these Terms, and "you" refers to both you and that Organization.
2. Definitions
- "Member" — any individual who registers for and holds a personal account on the Platform.
- "Organization Account" — an account registered by or on behalf of a business, agency, institution, community group, or other entity for the purpose of promotion, community engagement, or business-to-business activity on the Platform.
- "User," "you" — any Member, Organization, or visitor accessing the Platform.
- "User Content" — any text, images, video, audio, links, event listings, comments, profile information, promotional material, or other material that a User submits, uploads, posts, publishes, or transmits through the Platform.
- "Featured Content / Promotional Content" — User Content displayed in featured placements (such as banners, the Cosmos front page, sponsored sections, or other paid or partner placements).
- "Community Features" — interactive functions including profiles, posts, comments, messaging, event creation, following, and similar social functionality.
3. Beta Service Notice
3.1. The Platform is currently provided as a beta (pre-release) service. It is offered for evaluation and community-building purposes and may contain bugs, errors, incomplete features, or interruptions.
3.2. During the beta period we may, without notice: modify, add, or remove features; reset or delete data; limit access; or discontinue the beta entirely.
3.3. The beta Platform is provided "as is" and "as available" with no guarantee of uptime, data persistence, or backward compatibility. You should not rely on the Platform as the sole repository for any content you wish to preserve.
3.4. We may invite feedback during the beta. Any feedback, suggestions, or ideas you provide may be used by us without restriction or compensation to you.
4. Eligibility and Community Sign-Up
4.1. To create an account you must be at least [16 / 18] years of age, or the age of legal majority in your jurisdiction, whichever is higher.
4.2. Registration. To sign up, you must provide accurate information, which may include your first name, last name, email address, password, and, optionally, additional profile details such as date of birth or city of residence. You agree to keep this information current.
4.3. Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [contact email] of any unauthorized use. We are not liable for losses arising from your failure to safeguard your credentials.
4.4. One person, one account. You may not maintain multiple personal accounts, impersonate another person or entity, or register on behalf of someone without authorization.
4.5. We reserve the right to refuse registration, suspend, or terminate any account at our discretion, including where information provided is inaccurate, incomplete, or misleading.
5. Organization Accounts and B2B Use
5.1. Organization registration. Organizations may register accounts to promote their activities, publish content, host events, and engage with the community. The individual registering an Organization Account warrants that they are duly authorized to act on the Organization's behalf.
5.2. Accuracy and authority. Organizations must provide accurate identifying information and must not misrepresent their affiliation, endorsements, partnerships, or relationship with any third party (including space agencies, companies, or public figures).
5.3. Business relationships. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Ad Astra Origins. Use of the Platform for B2B purposes does not entitle any Organization to exclusivity unless agreed in a separate written agreement.
5.4. Separate commercial agreements. Paid services, sponsorships, featured placements, or partnership arrangements may be governed by additional order forms, insertion orders, or commercial agreements. Where such an agreement conflicts with these Terms, the separate agreement controls for that subject matter.
5.5. Compliance. Organizations are solely responsible for ensuring their use of the Platform complies with all laws applicable to them, including advertising, consumer-protection, export-control, data-protection, and industry-specific regulations.
6. User-Generated Content
6.1. Your ownership. You retain ownership of all intellectual property rights in the User Content you submit. We do not claim ownership of your content.
6.2. License to us. By submitting User Content, you grant Ad Astra Origins a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt, format, publish, publicly display, distribute, and otherwise use that User Content solely for the purposes of operating, providing, promoting, and improving the Platform. This license includes the right to display your content in featured or promotional placements on the Platform where you submit it for such purposes. This license ends when you delete the relevant User Content, except where: (a) it has been shared with others who have not deleted it; (b) we are required to retain it by law; or (c) it exists in routine backups for a limited period.
6.3. Your warranties. For each piece of User Content you submit, you represent and warrant that: (a) you own it or have all rights, licenses, consents, and permissions necessary to submit it and to grant the license above; (b) it does not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party; and (c) it complies with these Terms and all applicable laws.
6.4. Responsibility. You are solely responsible for your User Content and the consequences of submitting it. We do not endorse and are not responsible for any User Content, and we do not guarantee its accuracy, integrity, or quality.
6.5. No obligation to publish. We are not obligated to host, display, or retain any User Content and may remove, refuse, or restrict any content at our discretion (see Section 9).
7. Acceptable Use and Prohibited Conduct
7.1. You agree not to use the Platform to submit, post, or transmit any content, or engage in any conduct, that:
(a) is unlawful, fraudulent, defamatory, harassing, threatening, hateful, or discriminatory; (b) is obscene, sexually explicit, or harmful to minors; (c) infringes any patent, trademark, copyright, trade secret, or other intellectual property or proprietary right; (d) violates the privacy or publicity rights of others, or discloses personal data without consent; (e) contains malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to systems or data; (f) constitutes spam, chain messages, pyramid schemes, or unsolicited commercial solicitation; (g) impersonates any person or entity or misrepresents your affiliation; (h) promotes illegal activity, violence, or self-harm; (i) contains false or misleading information, including misinformation about the space industry, scientific matters, or events; (j) attempts to scrape, harvest, reverse-engineer, decompile, or extract data from the Platform by automated means without our written consent; (k) interferes with, overloads, or disrupts the Platform, its servers, or its security features; or (l) circumvents any access controls, usage limits, or moderation systems.
7.2. You agree to use Community Features respectfully and in good faith, and to comply with any community guidelines we publish from time to time.
8. Featured Content, Promotion, and Advertising
8.1. Featured placements. The Platform may allow Members and Organizations to feature content (for example, in banners or front-page Cosmos placements). Submitting content for featured placement constitutes a request, not a guarantee of placement, duration, or visibility.
8.2. Promotional standards. All Promotional Content must be truthful, not misleading, clearly identifiable as promotional where required by law, and compliant with applicable advertising regulations. You are responsible for any claims made in your Promotional Content.
8.3. Right to review and reject. We reserve the right to review, approve, reject, modify the presentation of, or remove any Promotional Content at our discretion, including content that conflicts with these Terms or that we consider inappropriate for the community.
8.4. No endorsement. Featuring or displaying an Organization's content does not constitute our endorsement of that Organization, its products, or its services.
8.5. Third-party advertising. The Platform may display third-party advertising or sponsored content. We are not responsible for third-party offers, and any dealings you have with advertisers or partners are solely between you and that third party.
9. Content Moderation and Removal
9.1. We may, but are not obligated to, monitor, review, or moderate User Content.
9.2. We may remove, disable, restrict, or refuse any User Content, suspend Community Features, or take other action, at any time and without prior notice, where we reasonably believe content or conduct violates these Terms, harms users, or exposes us to liability.
9.3. Reporting. Users may report content they believe violates these Terms by contacting astrainfo@adastraorigins.com or using any in-Platform reporting tools. We will review reports and respond as we consider appropriate.
9.4. Intellectual property complaints. If you believe content on the Platform infringes your copyright or other rights, send a notice to [designated agent / contact email] including: a description of the work; the location of the allegedly infringing content; your contact details; and a statement of good-faith belief that the use is unauthorized. We may remove content and, where appropriate, terminate repeat infringers.
10. Intellectual Property of the Platform
10.1. The Platform itself — including its software, design, user interface, graphics, logos, trademarks, and all content we create (excluding User Content) — is owned by or licensed to Ad Astra Origins and is protected by intellectual property laws.
10.2. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes, subject to these Terms. No other rights are granted.
10.3. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform except as expressly permitted.
10.4. "Ad Astra Origins" and associated logos are our trademarks. You may not use them without our prior written permission.
11. Third-Party Content and Links
11.1. The Platform may contain content, links, or integrations from third parties, including news sources, sci-fi and gaming archives, event organizers, and partner organizations. We do not control and are not responsible for third-party content, products, or services.
11.2. Your use of any third-party service is governed by that third party's own terms and policies.
12. Privacy and Data
12.1. Our collection and use of personal information is described in our Privacy Policy, available at [link to Privacy Policy].
12.2. By using the Platform, you consent to the collection, use, and processing of your information as described in the Privacy Policy.
12.3. Organizations that collect or process personal data of other users through the Platform are independently responsible for complying with applicable data-protection laws.
13. Disclaimers
13.1. THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2. We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, or that information on the Platform (including space-industry, scientific, or sci-fi content) is accurate, complete, or current.
13.3. Any reliance you place on Platform content is at your own risk.
14. Limitation of Liability
14.1. To the maximum extent permitted by law, Ad Astra Origins and its officers, members, employees, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising out of or relating to your use of (or inability to use) the Platform.
14.2. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the total amount you paid us, if any, in the [twelve (12)] months preceding the claim.
14.3. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Ad Astra Origins and its officers, members, employees, and partners from any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Platform; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
16. Suspension and Termination
16.1. You may stop using the Platform and delete your account at any time through the account settings or by contacting us.
16.2. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your conduct may harm us or other users, or if required by law.
16.3. Upon termination, the licenses granted to you end, but Sections 6.2 (residual license), 10, 13, 14, 15, and 18 survive, along with any other provisions that by their nature should survive.
17. Changes to These Terms
17.1. We may update these Terms from time to time. The "Last Updated" date reflects the latest version.
17.2. For material changes, we will provide reasonable notice (for example, by posting on the Platform or by email). Your continued use after changes take effect constitutes acceptance of the revised Terms.
18. Governing Law and Dispute Resolution
18.1. These Terms are governed by the laws of the state of Texas, United States of America, without regard to conflict-of-law principles.
18.2. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts located in Travis County, Austin, Texas, United States of America, unless otherwise required by applicable law.
18.3. The parties agree first to attempt to resolve disputes informally by contacting astrainfo@adastraorigins.com before initiating formal proceedings. Disputes shall be resolved by binding arbitration.
19. General Provisions
19.1. Entire agreement. These Terms, together with the Privacy Policy and any separate commercial agreements, constitute the entire agreement between you and us regarding the Platform.
19.2. Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
19.3. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
19.4. Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
19.5. Language. These Terms are written in English, which is the controlling language.
